TERMS AND CONDITIONS (START IN EUROPE)
Acceptance of Terms
Please read this agreement carefully which creates a legal agreement between you (the Legal Entity or You) and startineurope.com. (Start in Europe). These terms govern your use of the website, software and services to facilitate the communication and deal making between companies and all ecosystem members and business partners such as providing tools for managing your deal flow, facilitating decision making process and maintaining a long term relationship between you and other parties, provided by Start in Europe (collectively, the Services). If you do not accept the terms and conditions of this agreement do not use the services. If you access or use the services, you will be accepting this agreement, and you will have accepted and agreed to these terms and conditions. if you are an agent or employee of another entity you represent and warrant that (i) the individual accepting this agreement is duly authorized to accept this agreement on such entity's behalf and to bind such entity, and (ii) such entity has full power, corporate or otherwise, to enter into this agreement and perform its obligations hereunder.
If you sign up for or use the Services as an Account Representative (as that term is defined below) on behalf of a Legal Entity, you represent and warrant to Start in Europe that you have the authority to bind the Licensee and enter into this Agreement on behalf of the Licensee.
Modifications of Terms of Use
Amendments to this agreement can be made and effected by us from time to time without specific notice to your end. Agreement posted on the Site reflects the latest agreement and you should carefully review the same before you use our site.
Definitions
In this Agreement the following capitalized terms have the following meanings:
Account Representative: Means the authorized representative of a Legal Entity.
Services: Website, software and services to facilitate the communication, matchmaking and deal making between companies and all ecosystem members and business partners such as providing tools for managing your deal flow, facilitating decision making process and maintaining a long term relationship between you and other parties, provided by Start in Europe.
Website: Platform used by Start in Europe such as; startineurope.com, its subdomain
startup.startineurope.com and their subpages to publish startups, investors, government programs and partners.
Legal Entity: Profiles registered in startineurope.com; such as, startups, investors, government programs and partners.
Investment Agreement: Legally binding partnership agreement between a business and an investor that stipulates the overall structure of the business investment deal, terms and conditions, and the roles and obligations of the parties involved.
Use of the Site
To use the Services, you must register an individual user account as a legal person.
By registering an account on the Website and using any part of the Services, you agree:
1. to provide and keep the information requested by Start in Europe about you and/or your business entity accurate, current and complete;
2. to maintain the confidentiality of your password and other information related to the security of your account;
3. to be fully responsible for all use of your account and for any actions that take place through your account, including responsibility for compliance with all laws and regulations that are applicable to you or the content you use or create in connection with the Services;
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
After registering an account, Start in Europe may review your application. If Start in Europe suspects that the information you have provided is incorrect or you might use the Services in violation of these Terms, then in its sole discretion, Start in Europe may prohibit you access to its Website and Services.
The Website allows you to publish your startup and browse government programs, investors, partners and other startups. However, you are prohibited to do the following acts, to wit: (a) use our sites, including its services and or tools if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from using our sites, services, or tools (b) posting of an items in inappropriate category or areas on our sites and services; (c) collecting information about users’ personal information; (d) use offensive language or discriminating content; (f) post false, inaccurate, misleading, defamatory, or libelous content;
(g) take any action that may damage the rating system; (h) carry out any activities in course of using the Services that is illegal, libellous, defamatory, abusive, threatening, harassing, hateful, offensive, causes damage to Start in Europe or any third party or otherwise violates any law or infringes upon the right of any third party; (j) decompile, reverse engineer, or otherwise attempt
to obtain the source code of the Services and/or the Website; (i) use, publish or otherwise exploit or make available the confidential information you have gained access to in course of investment negotiations, investment syndicate or which another user has disclosed to you and such information can be reasonably be considered as confidential in nature, other than for making investment decisions. You must not transmit any worms or viruses or any code of a destructive nature. Any information provided by you or gathered by the site or third parties during any visit to the site shall be subject to the terms of startineurope.com’s Privacy Policy. Term This Agreement will remain in full force and effect while you use the Website. We may terminate your membership for any reason at any time. If you are using a paid version of the Service and we terminate your membership in the Service because you have breached this Agreement, you will not be entitled to any refund of unused subscription fees. Even after your membership is terminated, certain sections of this Agreement will remain in effect.
Registering a Profile
Profile is intended for start-ups and other companies for the purposes of finding investors or engaging with other legal entities.
Upon submitting your company profile information, you may establish who will have access to such information. Please note that (i) certain basic information (such as your name, company name, company description, location, field of activity, etc) as marked in the profile menu shall be available to all other users of the Website; and (ii) in order to use certain Services (such as matchmaking, deal room, reporting and investment syndicates - as explained below) it may be necessary to provide some additional information.
Matchmaking Services
As one of its Services, Start in Europe may provide matchmaking service whereby Start in Europe identifies and connects companies interested in cooperation and legal entities that have a readiness to provide services or resources. Connecting companies with specific legal entities (such as investors, accelerators, competitions, events etc) shall be based on automated or manual analysis based on the field of activity, data, preferences and transaction history provided by the company and the deal room entity on the Website and/or that is accessible on public databases.
Once Start in Europe has matched a company with a corresponding legal entity, both parties have to accept the match. Upon acceptance by both parties, the parties will enter into cooperation negotiations. In the case an Investment Agreement has been agreed upon between a startup and a legal entity, both parties have to accept giving %5 of the total sum of the investment for the matchmaking services of Start in Europe.
Payment Facilitation Services
As one of its Services, Start in Europe may provide payment facilitation services to facilitate the payments of different fees (e.g membership fees, participation fees) to third party organizations. Upon providing the payment facilitation services, Startup in Europe shall not be a merchant or a service provider, we are simply processing payments on behalf of third parties. Start in Europe
processes all payments in relation to such payments, including invoicing, taking payment from you, and remitting payment to third party service providers.
Upon making a payment on the Website, we will charge you an amount prescribed by the third party service provider on behalf of the third party service provider. The amount of the fee will be stipulated by the third-party service provider at its sole discretion. Upon making payments via the Platform, Start in Europe shall invoice you on behalf of the third-party service provider and charge your nominated credit or debit card for the amount. Startup in Europe will send you an invoice via e-mail on your request.
Cancelling Subscription and Deleting Your User Account
You can cancel your subscription at any time under the Settings menu. You may delete your user account, company profile, or deal room at any time by contacting the support. Support cannot delete your company profile if you have applied for governmental services, e.g. Startup Visa. Start in Europe does not grant refunds for cancelled subscriptions or upon deletion of the user account.
Third Party Services
Certain services operated by third parties may be made available to you on, though, or in connection with the Website or Services. Third party services may include messaging services, mobile services, features, content, applications, software, data feeds, or other services offered to you by third parties from time to time. Third party services may be made available to you through website links, embedded applications, and embedded content, applications installed on your computing or mobile device, cookies, and other technological mechanisms. Third party services may access, process and transmit your Startup in Europe user account or certain information, if you have so authorized.
Startup in Europe does not endorse any third party services and is not responsible or liable for your use of such services or any losses or damages arising from your dealing with any third party services. Your use of third party services is solely at your own risk and in accordance with any agreements that you have with the third party service providers. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. We may change, restrict access to, suspend or discontinued the site or any part of it at any time. The information, content and services on the site are provided on an “as is” basis. When you use the site and or participate therein, you understand and agree that you participate at your own risk.
Intellectual Property Rights
You hereby acknowledge that all rights, titles and interests, including but not limited to rights covered by the Intellectual Property Rights, in and to the site, and that You will not acquire any right, title, or interest in or to the site except as expressly set forth in this Agreement. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any of our services, software, or documentation, or create or attempt to create a substitute or similar service or product through
use of or access to the Program or proprietary information related thereto. Confidentiality you agree not to disclose information you obtain from us and or from our clients, advertisers, suppliers and forum members. All information submitted to by an end-user customer pursuant to a Program is proprietary information of StartupGrind.com. Such customer information is confidential and may not be disclosed. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.
Confidentiality
You agree not to disclose information you obtain from us and or from our clients, advertisers, suppliers and forum members. All information submitted to by an end-user customer pursuant to a Program is proprietary information of Start in Europe. Such customer information is confidential and may not be disclosed. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.
Severability
If any of the provisions of the Terms proves to be void or voidable, or is or becomes invalid in full or in part for any other reason; the remaining provisions of the Terms will continue to apply in full. We will replace the invalid stipulation by a stipulation that is valid and whose legal consequences, in view of the substance and purpose of the Terms, correspond as much as possible to those of the invalid stipulation.
Non-Assignment of Rights and Obligations
Your rights and obligations of whatever nature cannot be assigned nor transferred to anybody, and any such attempt may result in termination of this Agreement, without liability to us. However, we may assign this Agreement to any person at any time without notice.
No Waiver
Our failure to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision.
Language
It is the express wish of the parties that this agreement and all related documents be drawn up in English.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Republic of Lithuania, without regard to any choice of laws or conflicts of law provisions. You agree that any lawsuit arising from or related to Services shall be brought exclusively to courts located in Vilnius, Lithuania and you consent to the exclusive jurisdiction of such courts.
